Our Commitment

YugabyteDB, Inc. (“YugabyteDB”) is committed to conducting business with integrity, transparency, and in full compliance with applicable anti-corruption and anti-bribery laws worldwide. As a company whose distributed SQL database platform serves enterprises across industries and geographies, we recognize that maintaining the trust of our customers, partners, and communities requires an unwavering commitment to ethical business practices.

Applicable Laws

YugabyteDB complies with the anti-corruption laws of the jurisdictions in which we operate or do business. These include, without limitation, the U.S. Foreign Corrupt Practices Act of 1977 (“FCPA”), the UK Bribery Act 2010, and all other applicable domestic and international anti-corruption and anti-bribery laws.

Prohibited Conduct

YugabyteDB does not tolerate bribery or corruption in any form, whether involving public officials or private-sector counterparts. No person acting for or on behalf of YugabyteDB may:

  • Offer, promise, authorize, or provide any payment, gift, or anything of value to a government official, political party, or any other person for the purpose of obtaining or retaining a business advantage or influencing an official act.
  • Solicit or accept a bribe, kickback, or other improper inducement from any source.
  • Make facilitation payments to expedite routine governmental actions, regardless of local custom or practice.
  • Use a third party, agent, or intermediary to carry out any act that would violate this statement if performed directly by a YugabyteDB employee.
  • Falsify or conceal the true nature of any transaction in YugabyteDB’s books and records.

Gifts, Hospitality, and Business Courtesies

Reasonable and customary business courtesies may be appropriate in the ordinary course of business relationships. Any gift, meal, entertainment, or hospitality offered or received by a YugabyteDB representative must be modest in value, infrequent, transparent, and free of any intent to influence a business decision. Gifts or hospitality involving government officials require prior approval from the YugabyteDB Legal Department. Cash or cash-equivalent gifts are never permitted.

Third-Party Due Diligence

YugabyteDB expects the same standard of ethical conduct from its business partners. Before engaging resellers, channel partners, agents, consultants, or other intermediaries who may interact with customers or government entities on YugabyteDB’s behalf, YugabyteDB conducts risk-based due diligence appropriate to the nature and geography of the engagement. Third parties acting on behalf of YugabyteDB are required to comply with all applicable anti-corruption laws, and YugabyteDB reserves the right to terminate any relationship where a partner fails to meet these expectations.

Record-Keeping and Internal Controls

YugabyteDB maintains accurate books and records that reflect all transactions and expenditures in reasonable detail. We have implemented internal accounting controls designed to prevent and detect improper payments, and we do not permit off-book accounts, unrecorded funds, or inaccurate entries for any purpose.

Reporting Concerns

YugabyteDB encourages anyone who becomes aware of or suspects a violation of this statement, or of any applicable anti-corruption law, to report it promptly. Concerns may be raised through any of the following channels:

YugabyteDB does not tolerate retaliation against any individual who raises a concern in good faith, even if the concern is ultimately not substantiated.
